Principal Contracts Manager     

The Principal Contracts Manager is a position within the Omnicell Legal Department and will initially provide contract support for assigned geographical Divisions as well as internal business units but be available to support cross-department work-load spikes and other short-term issues.

Under general supervision, this position is responsible for contract negotiation with both internal and external customers and administration services for assigned proposals and contractual agreements consistent with Omnicell’s business model. As the Principal Contracts Manager, you will administer and negotiate basic to moderately complex agreements and monitor cost control using established procedures in order to develop and fulfill the organizations' contractual requirements.  The position will work flexible hours to accommodate business needs.

 

Responsibilities:

  • Manage basic to moderately complex agreements, both commercial and vendor.
  • Work with Sales management, external customers, and internal business unit owners to negotiate agreements (direct and channel), amendments and general documents and interface with Company management and other Company departments to develop or review agreements as needed.
  • Prepare letter agreements, amendments, statements of work, review proposal submissions terms and conditions and the like.
  • Review and analyze RFPs/solicitations, identifying areas of contract risk and developing appropriate risk mitigation terms.
  • Work with internal business clients to draft and negotiate a wide variety of vendor agreements, amendments, and associated documents.
  • Maintain strong and effective relationships with internal (e.g., Sales, Marketing, IT, HR, Engineering, Manufacturing, Purchasing, Facilities, Finance, Revenue Recognition) and external clients/customers.
  • Draft and file routine bankruptcy court paperwork on behalf of the company.
  • Assist counsel with privacy-related agreements, such as business associate agreements, as the need arises.
  • Assist with pre-award, post-award, and contract management activities associated with the Department of Veterans Affairs Federal Supply Schedule (FSS) and associated task orders.

Required Knowledge and Skills:

  • Excellent written and oral communication skills, effective interpersonal skills, problem-solving ability and good work habits required.
  • Strong contracts negotiation skills, including a solid understanding of common legal and business terms and conditions and the ability to effectively explain one’s position on such terms and conditions to others.
  • Must be able to balance the need for an immediate response but with accuracy and completeness of information.
  • Must be able to prioritize workload using good judgment.
  • Must possess a very high level of value-oriented client support skills (both internal and external).
  • Be detail oriented and well organized.
  • Able to meet demanding deadlines with an understanding of peak ebbs and flows of position requirements.
  • Have the ability to work independently, exercising good judgment, and to respond quickly to a variety of in-house and customer requests.
  • Ability to complete multiple tasks simultaneously.
  • Have the ability to interact effectively orally and in writing with all levels of in-house and customer representatives.

Basic Qualifications:

  • Bachelor degree
  • 12 years of experience in a contracts environment with negotiation experience

Preferred Qualifications:

  • Previous supervisory experience
  • Corporate paralegal experience or a J.D..
