The Position

The Legal Department, within the Global Operations Division, is looking for an Associate In-house Legal Counsel to join our team. This is an excellent opportunity for an individual looking to contribute in a non- profit corporate legal setting. The Legal Department at Vital Strategies is recognized as having one of the highest levels of “customer satisfaction” amongst all departments in the organization and prides itself on three pillars of efficiency, simplicity, and scalability. This position is based in our office in New York City and will report to the In-house Legal Counsel.

Key responsibilities

The Associate In-house Legal Counsel will work closely with members of the Legal Department team, act as a lawyer for the organization, and will be expected to assist with the following:

  • Advise on the drafting of internal policies and procedures and their implementation
  • Anticipate and mitigate potential legal problems within the organization and develop strategies to avoid costly litigation and reduce potential areas of risk
  • Act as liaison with outside counsel on matters requiring external legal assistance
  • Advise on all legal needs of the organization
  • Design, draft, review, revise, and oversee the management and signing of contracts and amendments
  • Perform due diligence for potential transactions involving the organization
  • Research and analyze law for the preparation of legal memoranda
  • Assess, analyze, and summarize complicated legal documents, including contracts, and make suggestions for alterations of these documents
  • Support negotiations with outside parties on contractual issues
  • Advise on human resources and finance questions with legal implications
  • Provide training and assistance to all staff about general and specific legal principles and liabilities related to their work
  • Other duties in collaboration with or under the direction of the In-house Legal Counsel

Qualities and Qualifications

  • Member in good standing of at least one state bar (NY preferred)
  • At least one year of prior experience in a law firm, in-house, or clerkship setting
  • Highly attentive to detail
  • Extremely well organized and responsive
  • Ability to prioritize tasks and work efficiently with sometimes minimal supervision
  • Strong interpersonal skills
  • Determination and drive to see tasks through to the end
  • Ability to balance between making proactive decisions alone and knowing when to seek assistance or approval from supervisor or others
  • Proficient English writing and speaking abilities (knowledge of other languages, particularly French, Spanish, Portuguese or Chinese, is an asset)
  • Proven ability to quickly learn new software and mastery of Microsoft Suite products (particularly Word and Excel)
